1. Acceptance of terms
These Terms of Service ("Terms") govern your use of babyblue.sbs (the "Site") and any content services provided by Babyblue ("Babyblue," "we," "us," or "our"). By visiting the Site, contacting us, or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site or our services.
2. Description of services
Babyblue is a content creation and social media service for brands. Depending on the engagement, our services may include: business and topic research, writing, post creation, reel creation, content adaptation across platforms, and general social content preparation — primarily for LinkedIn, X and Instagram today, with other platforms planned for the future. Specific scope, deliverables, and timelines for any engagement are agreed directly between you and Babyblue by email or other written communication.
3. Client responsibilities
- Provide accurate information about your business, brand, and goals so we can research and write on your behalf.
- Respond to drafts and review requests in a reasonably timely manner so work can proceed.
- Ensure you have the right to share any materials, information, or assets you send us.
- Review and approve content before it is published — Babyblue does not publish content on your behalf without your review.
4. Content and information you supply
Any business information, brand materials, product details, or other content you provide to Babyblue ("Client Materials") remains your property. You represent that you have the right to share Client Materials with us and that doing so does not infringe on any third party's rights. We use Client Materials only to research, draft, and prepare content for you.
5. AI-assisted content creation
Babyblue may use AI-assisted tools as part of our internal research and drafting process to work more efficiently. We do not sell or deliver raw, unedited AI-generated content. Every draft is reviewed, edited, and adapted by a person at Babyblue before it is sent to you, and you review and approve it again before anything is published.
6. Human review and editing
You remain in control of what gets published. Nothing created by Babyblue is published to your accounts or on your behalf without your explicit review and approval, unless otherwise agreed in writing for a specific engagement.
7. Intellectual property
Babyblue's website, branding, and the Babyblue name are the property of Babyblue. Nothing in these Terms transfers ownership of Babyblue's own brand, website, or internal tools to you.
8. Ownership of client-provided materials
You retain ownership of all Client Materials you provide to us. We use them solely to deliver the services you've engaged us for and do not claim ownership over them.
9. Ownership and use of final deliverables
Unless otherwise agreed in writing for a specific engagement, once content we create for you (such as approved posts, reels, or captions) has been delivered, you are free to use, publish, and edit it for your business purposes. Specific ownership or licensing terms for a given engagement will be confirmed directly with you as part of that engagement.
10. Third-party platforms
Content we prepare may be intended for publishing on third-party platforms such as LinkedIn, X (Twitter), Instagram, and potentially others in the future. Those platforms are operated by third parties, have their own terms of service, and are entirely outside Babyblue's control. We are not responsible for changes to those platforms' features, algorithms, policies, or availability.
11. No guaranteed results
Babyblue does not guarantee any specific outcome from our content services, including but not limited to reach, impressions, followers, engagement, leads, or revenue. Social platform performance depends on many factors outside our control, including platform algorithms, audience behavior, and market conditions.
12. Payment and fees
At this time, babyblue.sbs does not process payments online and offers a 14-Day Free Content Pilot and a limited number of founding-client spots as described on the Site. The pilot has no contract or commitment. Specific pricing, invoicing, and payment terms for any paid engagement — if and when they apply — will be agreed directly with you in writing before work begins. 13. Prohibited use
You agree not to use the Site or our services for any unlawful purpose, to infringe on the rights of others, to transmit harmful code, or to attempt to disrupt or gain unauthorized access to the Site or our systems.
14. Confidentiality
We treat non-public business information you share with us in the course of an engagement as confidential, and we use it only to provide the services you've requested. We do not share it with third parties except as needed to deliver our services (see our Privacy Policy) or as required by law.
15. Service availability
The Site and our services are provided on an "as is" and "as available" basis. We may update, modify, or temporarily suspend the Site or aspects of our services at any time, and we do not guarantee uninterrupted or error-free availability.
16. Limitation of liability
To the maximum extent permitted by law, Babyblue will not be liable for any indirect, incidental, or consequential damages arising from your use of the Site or our services, including loss of revenue, data, or business opportunities. Our total liability for any claim relating to our services is limited to the amount you paid us for the specific engagement giving rise to the claim, or, where no payment has been made, to the maximum extent permitted by applicable law.
17. Indemnification
You agree to indemnify and hold Babyblue harmless from any claims, damages, or expenses arising from Client Materials you provide, your misuse of deliverables, or your violation of these Terms.
18. Termination
Either party may end an engagement or stop using the Site at any time. Provisions of these Terms that by their nature should survive termination (such as intellectual property, confidentiality, and limitation of liability) will continue to apply.
19. Changes to these terms
We may update these Terms from time to time, for example as our services evolve. The "Effective Date" at the top of this page reflects the most recent revision. Continued use of the Site or our services after changes take effect means you accept the updated Terms.
20. Governing law
These Terms are governed by the laws of [GOVERNING_LAW_JURISDICTION], without regard to conflict-of-law principles. This will be confirmed once Babyblue's registered business jurisdiction is finalized.
